This Agreement is entered into in the State of Louisiana and shall be governed by and construed in accordance with the laws of the State of Louisiana, exclusive of any choice of law statute. In the event that any of the provisions of this Agreement shall be held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.
Disputes. Any disputes between the parties arising out of, or relating to, this Agreement or the breach thereof, or any service, product, or construction provided by S&P shall, at the sole discretion of S&P, be mediated. The parties shall share the mediator’s fee and any filing fees equally. The mediation shall be held in the city and state where the service, product, or construction took place, unless another location is mutually agreed upon. Agreements reached in mediation shall be enforceable as settlement agreements in any court having jurisdiction thereof. In the event that mediation is not attempted or not successful, S&P, in its sole discretion, may require that any disputes or claims be decided by arbitration. The award rendered by the arbitrators shall be final, and judgment may be entered upon it in accordance with applicable law in any court having jurisdiction thereof.
